ARTICLE I NAME
Section 1. This organization shall be known as the PHILOSOPHICAL ASSOCIATION OF
THE PHILIPPINES, (PAP), Inc.. This association is an academic, non-stock, non-profit, non-sectarian, and a non-partisan
organization.
ARTICLE II PURPOSES
Section 1. The objectives and purposes of this association shall be:
a. to promote and share philosophical knowledge and studies;
b. to conduct philosophical investigation, and;
c. to undertake such activities that will promote the objectives and purposes
of the Association.
ARTICLE III NATIONAL OFFICE
Section 1. The National Office of the Association shall be located in Metro Manila,
Philippines
ARTICLE IV MEMBERSHIP
Section 1. The members of the Association are classified as Regular, Honorary,
and Sustaining members.
a. Regular members shall be those who teach Philosophy courses in any duly accredited
college or university and whose membership are approved by a majority vote of the Board of Directors of the Association.
b. Honorary members are those who, by virtue of their scholarship and professional
competence in their field, have been approved for membership by the Board of Directors.
c. Sustaining members can be an Individual or an Institution, philanthropists
or donors who, in one way or another, are in sympathy with and in support of the objectives of the Association.
Section 2. The annual membership fee of the regular members shall be determined
annually by the Board of Directors. Honorary and sustaining members may donate any amount or sponsor any activity of the Association
ARTICLE V BOARD OF DIRECTORS
Section 1. The Board of Directors shall consist of nine (9) members who
are elected by the General Assembly. The Board of Directors shall be the governing body of the Association and shall manage
its affairs and business.
Section 2. The Officers and Directors of the Board shall hold office for a period
of two (2) years and shall serve until their successors shall have been duly elected and qualified.
Section 3. a. No member of the Board shall be eligible for office of the president
unless s/he shall have earned the Degree of Doctor of Philosophy or Master of Arts major in Philosophy.
b. No member of the Board shall be eligible for office of the Vice President unless
s/he shall have earned the Degree of Doctor of Philosophy or Master of Arts, major in Philosophy.
Section 4. The regular meeting of the Board of Directors shall be held bi-monthly.
The Board may hold a special meeting upon call of the President or upon the request of at least three (3) members of the Board
of Directors. A majority of the Board of Directors in a regular or special meeting shall constitute a quorum. Failure to attend
4 four (4) meetings (regular or special) shall be ground for removal from office.
Section 5. The Board of Directors shall elect among themselves the President,
Vice President, Secretary, Treasurer and P.R.O. of the Association.
ARTICLE VI ACCOUNTABILITY AND DUTIES OF OFFICERS AND DIRECTORS
Section 1. The President shall preside during all meetings of the Board of Directors.
It is the duty of the President to submit to the annual General Assembly a written report of the activities of the Association
for the preceding calendar year.
Section 2. The Vice President shall perform such duties as may be delegated to
him/her by the President. S/He shall assume the duties of the President in case of incapacity or disqualification. S/He shall
audit the book of accounts of the Association and shall report the findings to the Board of Directors.
Section 3. The Secretary shall keep the minutes of all meetings of the Assembly
and of the Board of Directors. S/He shall perform other functions that the President may assign him/her from time to time.
S/He shall work with the PRO in the Association publication.
Section 4. The Treasurer shall collect the dues of members and other accounts
of the Association. S/He shall deposit the collections in the bank designated by the Board of Directors. S/He and the President
shall disburse the finds of the Association under direction and authority of the Board of Directors. S/He shall keep the
accounts of the Association, including inventories of all its properties. S/He shall submit a quarterly financial report to
the General Assembly, and such other reports the Board may require.
Section 5. The P.R.O. shall be in-charge of promoting and publicizing the activities
of the Association.
Article VII GENERAL ASSEMBLY
Section 1. The General Assembly shall be composed of all members of good standing
of the Association.
Section 3. The General Assembly shall formulate the general policies of Association.
Section 4. The attendance of a simple majority of the members of the General Assembly
shall constitute a quorum to elect the Board of Directors during the General Assembly.
Section 5. The annual meetings of the General Assembly shall be held in Apt/I
May of each year.
Section 6. The election of Officers shall be held immediately after the election
of nine (9) Board of Directors, provided that not more than two (2) directors shall con from the same College or University.
ARTICLE VIII PUBLICATIONS
Section 1. The Association shall publish an annual journal of its proceedings
list of members.
ARTICLE IX DONATION
Section 1. The Association shall receive donations in cash, or in kind such as
property, books, pamphlets, documents, manuscripts, and other items of philosophical value that shall be officially
acknowledged and recorded as property of the Association.
ARTICLE X CHAPTERS
Section 1. Chapters of the Association may be organized by a group of at least
five (5) persons from any college or university in the Philippines. Each shall pay an chapter fee to be determined by the
Board of Directors of the Association.
Section 2. Chapter members shall pay their regular annual dues individually to
the Treasurer of the Association.
ARTICLE XI AMENDMENTS
Section 1. A two-thirds (2/3) vote of the regular members of good standing
may at a regular or special meeting duly called for that purpose, amend or repeal any provision of the by-laws.
ADOPTION
